Terms of Service

Article 1 - Purpose

These Terms of Service govern the contractual relationship between Djambar AI FZCO, a company registered in Dubai Silicon Oasis (hereinafter "the Publisher"), and any travel agency or Hajj/Umrah professional subscribing to the MyUmrah.ai platform (hereinafter "the Client"). MyUmrah.ai is a SaaS (Software as a Service) platform for managing Umrah and Hajj packages, including pilgrim management, regulatory compliance, and artificial intelligence tools.

Article 2 - Services provided

The Publisher provides the following services: • MyUmrah.ai Platform: package management, pilgrim CRM, messaging, analytics. • vDPO Module (optional): GDPR and PDPL compliance assistance, regulatory document generation, deadline alerts. • Technical support: assistance via integrated messaging, email and WhatsApp. • Updates: continuous platform improvements included in the subscription.

Article 3 - Subscription and duration

The subscription is taken out on a monthly basis, with tacit renewal. The Client may cancel at any time with 30 days' notice before the next billing date. Access to the platform is activated by the Publisher. Billing begins upon activation of the subscription by the Publisher. In case of non-payment, the Client benefits from a 45-day regularization period as follows: • Day 0 to Day 7: automatic payment retries by the payment provider • Day 7 to Day 15: non-payment notification, access maintained • Day 15 to Day 30: restriction of certain features (export, adding pilgrims) • Day 30 to Day 45: read-only access • Beyond Day 45: account suspension

Article 4 - Pricing and payment

A. SaaS Subscription (monthly, excl. VAT) • Solo Guide: €29/month - 1 user, basic management, 50 pilgrims/year included • Starter: €79/month - up to 5 users, full CRM, 150 pilgrims/year included • Pro: €199/month - unlimited users, vDPO module, 500 pilgrims/year included • Premium: custom pricing - multi-agency, API, dedicated support, unlimited pilgrims B. Per-pilgrim management fees In addition to the subscription, management fees are calculated on the excl. VAT price of the package for each pilgrim whose trip has actually commenced during the calendar month. These fees are billed at the end of each month: • Solo Guide: 0% • Starter: 2% of excl. VAT package price • Pro: 1.5% of excl. VAT package price • Premium: per contract C. Referral fees (non-subscribed agencies) Agencies listed on the MyUmrah.ai marketplace without a CRM subscription are subject to a 10% commission on the excl. VAT amount of each booking validated through the platform. D. Charitable donation 2.5% of the Publisher's revenue is donated to a partner association or mosque. This donation is borne exclusively by the Publisher and does not affect the Client's pricing. E. Launch pricing The above prices are launch prices, applicable to Clients subscribing before April 30, 2026. The Publisher reserves the right to revise these prices at the end of this period. Clients benefiting from launch pricing will retain their pricing conditions for a minimum period of 12 months from their subscription date (grandfathering clause). F. Payment terms Prices are displayed in euros (EUR) excluding tax. Clients established in the European Union are subject to the VAT reverse charge mechanism in accordance with Article 283-2 of the French General Tax Code and Article 196 of Directive 2006/112/EC. The Client is required to provide their intra-Community VAT number. Payment is made by credit card via Stripe, a PCI DSS Level 1 certified payment provider. Credit card data never passes through MyUmrah.ai servers. Clients billed in another currency (USD, GBP, SAR, XOF) are charged at the exchange rate applied by Stripe at the time of the transaction. No additional conversion fee is charged by the Publisher. G. Late payment penalties In accordance with Articles L441-10 and D441-5 of the French Commercial Code, any late payment automatically incurs: • Late payment penalties calculated at three times the legal interest rate in force • A fixed recovery indemnity of 40 euros No discount is granted for early payment. Prices may be modified with 60 days' notice.

Article 5 - Obligations of the parties

The Publisher undertakes to: • Ensure platform availability (SLA 99.5%). • Secure data in accordance with NIST and CIS standards. • Notify the Client of any data breach within 72 hours. The Client undertakes to: • Provide accurate information during registration. • Not share access credentials. • Comply with applicable laws in the exercise of their activity.

Article 6 - Liability

The Publisher shall not be held liable for indirect damages, data loss resulting from misuse by the Client, or service interruptions related to third parties (hosts, payment providers). The Publisher's total liability is limited to the amounts paid by the Client over the previous 12 months.

Article 7 - Data protection

The processing of personal data is governed by our Privacy Policy. The Publisher acts as a data processor (within the meaning of the GDPR) for pilgrim data and as a data controller for Client data. In accordance with Article 28 of the GDPR and PDPL requirements, a Data Processing Agreement (DPA) is available upon request. Artificial intelligence processing - The platform uses an AI model (Anthropic Claude) to analyze the quality of pilgrim documents (passport, ID photo, visa, vaccination certificate, payment receipt). This processing is limited to verifying readability, compliance, and quality of submitted documents. The AI makes no automated decisions within the meaning of Article 22 of the GDPR: each document undergoes human validation by the agency. Anthropic, as a technical sub-processor, retains no transmitted data (zero data retention policy). Analysis results (confidence score, detected anomalies) are stored in the platform database and accessible to the agency to facilitate validation.

Article 8 - Termination

Either party may terminate the contract in case of serious breach by the other party, not remedied within 15 days following a formal written notice. Upon termination, the Client retains read-only access for 30 days to export their data.

Article 9 - Applicable law

These Terms are governed by the laws of the United Arab Emirates, without prejudice to mandatory consumer protection provisions of the Client's country of residence. For Clients residing in the European Union, GDPR provisions apply in full. For Clients residing in Saudi Arabia, PDPL provisions apply. Any dispute shall be submitted to the competent jurisdiction in Dubai (DIFC Courts), unless otherwise required by mandatory provisions.
